1. Agreement to Terms
By accessing or using Dropify's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.
2. Use License
Permission is granted to temporarily access and use Dropify's services for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modify or copy the materials
- Use the materials for any commercial purpose
- Attempt to decompile or reverse engineer any software
- Remove any copyright or proprietary notations
- Transfer the materials to another person
3. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for:
- Maintaining the confidentiality of your account
- All activities that occur under your account
- Notifying us immediately of any unauthorized use

5. Refund and Cancellation Policy
IMPORTANT: ALL SALES ARE FINAL. NO REFUNDS WILL BE PROVIDED UNDER ANY CIRCUMSTANCES.
By subscribing to any Dropify plan, you acknowledge and agree to the following:
- No Refunds: All subscription payments are non-refundable. Once a payment is processed, it cannot be reversed, refunded, or credited under any circumstances, including but not limited to dissatisfaction with the service, failure to use the service, technical issues, or change of mind.
- No Proration: If you cancel your subscription mid-cycle, you will not receive a prorated refund for the unused portion of your subscription period.
- Subscription Continuation: Your subscription will automatically renew at the end of each billing cycle unless you cancel at least 24 hours before the renewal date. You are solely responsible for managing your subscription status.
- Failed Cancellations: If you fail to cancel before the renewal date, the charge is final and non-refundable.
- Service Interruptions: Temporary service interruptions, maintenance periods, or technical difficulties do not entitle you to any refund or credit.
- Account Termination: If your account is terminated for violation of these terms, you will not receive any refund for remaining subscription time.
Chargebacks: If you initiate a chargeback or payment dispute with your bank or credit card company, Dropify reserves the right to immediately terminate your account, pursue collection of all amounts owed, and recover any fees, costs, or expenses incurred as a result of such dispute, including legal fees.
By completing your purchase, you expressly waive any right to receive a refund and acknowledge that you have read and understood this no-refund policy.
6. Disclaimer
The materials on Dropify's website and services are provided on an 'as is' basis. Dropify makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
7. Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Dropify and its officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses.
- In no event shall Dropify's total liability to you for all claims exceed the amount you paid to Dropify in the twelve (12) months preceding the claim, or fifty dollars ($50), whichever is less.
- Dropify is not responsible for any business decisions you make based on information or data provided through our services. Any product research, trend analysis, or market data is provided for informational purposes only.
- Dropify does not guarantee any specific results, sales, profits, or business outcomes from using our services.
- You acknowledge that dropshipping and e-commerce involve inherent risks, and Dropify bears no responsibility for your business success or failure.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
8. Payment Processing and Stripe Compliance
Dropify uses Stripe as our payment processor. By using our payment services, you agree to comply with the following requirements:
7.1 Acceptance of Stripe Agreements
- You must accept the Stripe Services Agreement (SSA)
- If using Stripe Payments, you are also bound by the Payments Services Terms
- If using Stripe Connect, you must also comply with the Connected Account Agreement
7.2 Verification & Compliance
- Provide accurate business identification (name, address, registration details)
- Provide valid bank account details for payouts
- Provide information about your products or services for supportability checks
- Maintain compliance with Stripe's risk and regulatory requirements
7.3 Prohibited and Restricted Businesses
- Your business must not operate in categories listed in Stripe's "Prohibited and Restricted Businesses" policy
- If in a restricted category, obtain explicit Stripe approval
7.4 Liability
- You remain financially liable for all disputes, refunds, chargebacks, and fines
- For Stripe Connect: you are liable even if your platform assumes responsibility
7.5 Connected Accounts (if using Stripe Connect)
- Connected accounts must agree to the Stripe Services Agreement and Connected Account Agreement
- You must collect verification details for connected accounts (Standard, Express, or Custom)
- You must provide proper disclosures (e.g., identify Stripe as a payment service provider)
- Ensure your own platform's terms of service include references to Stripe's agreements
7.6 Transparency & Disclosure
- Clearly disclose use of Stripe as a payment processor to your users/customers
- Include Stripe's terms or links in your own terms of service for connected accounts (if applicable)
9. Termination
Dropify reserves the right to terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation:
- Breach of these Terms of Service
- Suspected fraudulent, abusive, or illegal activity
- Initiation of chargebacks or payment disputes
- Sharing account credentials with third parties
- Attempting to reverse engineer, scrape, or misuse our platform
- Any conduct that Dropify, in its sole discretion, deems harmful to other users or the business
Upon termination, your right to use the services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. No refunds will be provided upon termination.
10. Indemnification
You agree to defend, indemnify, and hold harmless Dropify, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the services
- Your violation of any term of these Terms of Service
- Your violation of any third-party right, including any intellectual property or privacy right
- Any claim that your use of the services caused damage to a third party
- Your business operations, including any products you sell based on information from our platform
This defense and indemnification obligation will survive these Terms and your use of the services.
11. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
- Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
- No Class Actions: You agree that any arbitration or proceeding shall be limited to the dispute between Dropify and you individually. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
- Location: Any arbitration shall take place in St. Petersburg, Florida, USA.
- Costs: Each party shall bear its own costs and attorney's fees in any arbitration proceeding.
12. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida for any disputes not subject to arbitration.
13. Changes to Terms
Dropify reserves the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.
